Terms of Service

Welcome to ERP1.ORG. These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between ERP1.ORG ("Platform", "we", "us") and the subscribing institution, organization, trust, or individual ("Customer", "Institution", "User") accessing or utilizing our software, websites, APIs, and associated support services.

By accessing or using ERP1, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into this Agreement on behalf of an educational seminary, school, or non-profit trust, you represent that you possess the requisite legal authority to bind that entity.

1. Software License & Permitted Use

Subject to the terms and conditions of this Agreement and the timely payment of applicable subscription fees in Pakistani Rupees (PKR) or international currency, ERP1 grants the Customer a non-exclusive, non-transferable, revocable license to access and use the ERP1 software modules solely for the internal operational management of the designated educational or charitable institution.

Customers agree not to:

Reverse engineer, decompile, disassemble, or derive source code from any proprietary software components.
Sublicense, lease, resell, or distribute the platform to unauthorized third parties without written authorization.
Circumvent security access controls, rate limits, or multi-tenant isolation boundaries.
Use the platform to store or transmit malicious code, viruses, or unlawful material.

2. Administrative Accounts & Access Responsibilities

The subscribing institution is responsible for maintaining the confidentiality of its administrative and employee credentials. The institution assumes full responsibility for all activities conducted under its user accounts. The Customer agrees to immediately notify ERP1 of any suspected breach of security or unauthorized account access.

3. Subscription Fees, Billing & Payment Processing

Access to ERP1 is provided pursuant to the deployment tier selected by the institution (e.g., Single Seminary at Rs. 14,000/mo, Multi-Campus Trust at Rs. 35,000/mo, or Enterprise Foundation).

Payment Terms: Subscription fees are billed in advance on a monthly or annual cycle, as agreed upon execution of service.
Taxes: All fees are exclusive of applicable federal, provincial, or municipal sales taxes, which shall be invoiced where legally required.
Currency: Fees are denominated in Pakistani Rupees (PKR) or local currency equivalents as specified on institutional invoices.
Payment Processing: Transactions are securely processed through vetted 1Link IBFT, bank transfer, or merchant card gateways. You authorize ERP1 or its payment partners to process designated billing methods for recurring renewals.

4. Service Level Availability & Support

ERP1 undertakes commercially reasonable efforts to ensure 99.9% uptime for hosted instances, excluding scheduled maintenance windows announced in advance. Priority technical support is provided via official email (support@erp1.org), ticketing portals, and verified WhatsApp enterprise communication channels.

5. Institutional Data Ownership & Backup

The subscribing institution retains all right, title, and interest in its proprietary data (student rosters, attendance logs, financial vouchers, donor details, and fatwa manuscripts). ERP1 claims no intellectual property rights over institutional data. We execute automated nightly backups; however, institutions are encouraged to periodically download their database schema and record exports via the built-in backup tools.

6. Term, Suspension & Termination

This Agreement remains in effect until terminated by either party. Institutions may cancel their subscription at any time via written notice or their account dashboard, subject to our Refund Policy.

ERP1 reserves the right to temporarily suspend or terminate institutional access if an account is overdue by more than thirty (30) days, or in the event of a severe breach of system security or permissible use guidelines.

7. Limitation of Liability & Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ERP1 IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. IN NO EVENT SHALL ERP1, ITS DIRECTORS, OR DEVELOPERS BE LIABLE FOR INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM SYSTEM DOWNTIME, DATA LOSS, OR BUSINESS INTERRUPTION. OUR TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY THE CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
